Vendor Terms and Conditions – BizChat Connect Effective Date: August 12, 2025 These Vendor Terms and Conditions (“Terms”) govern the relationship between BizChat Connect (“we,” “our,” or “us”) and vendors, service providers, or third-party partners (“Vendor,” “you,” or “your”) who provide goods, services, or integrations in connection with BizChat Connect. By registering as a Vendor or providing services through BizChat Connect, you agree to comply with these Terms. 1. Vendor Eligibility To become a Vendor with BizChat Connect, you must: Be a legally registered business entity or authorized individual. Comply with all applicable laws, regulations, and licensing requirements. Provide accurate, current, and complete business information. 2. Vendor Obligations As a Vendor, you agree to: Provide high-quality goods or services as described in your agreement or listing. Fulfill orders and deliver services on time and as advertised. Maintain clear communication with BizChat Connect and customers. Ensure that all materials, content, or services comply with Meta’s policies and applicable laws. 3. Compliance with Meta and BizChat Connect Policies Vendors must adhere to Meta’s WhatsApp Business Policy, Commerce Policy, and other platform rules. Any activity violating Meta’s or BizChat Connect’s policies may result in suspension or termination. 4. Fees and Payments Vendors may be subject to service fees, commissions, or payment terms as outlined in their agreement or within BizChat Connect. Payments will be processed securely and settled as per the agreed schedule. Vendors are responsible for all applicable taxes on their earnings. 5. Prohibited Activities Vendors must not: Sell illegal, counterfeit, or unauthorized goods or services. Engage in fraud, spam, or deceptive marketing practices. Use BizChat Connect to send unsolicited messages or violate customer privacy. Misuse WhatsApp API or any Meta-integrated features. 6. Intellectual Property Vendors retain ownership of their content, products, and trademarks. By partnering with BizChat Connect, Vendors grant us a limited, non-exclusive license to display their logos, trademarks, or content for promotional and operational purposes. 7. Data Protection & Privacy Vendors must comply with data privacy laws (e.g., GDPR, CCPA) when handling customer data. Vendors may only use customer information for legitimate business purposes within BizChat Connect. Any breach of data security must be reported immediately. 8. Termination We reserve the right to suspend or terminate a Vendor’s account if: They violate these Terms or Meta’s policies. Engage in fraudulent or unlawful behavior. Fail to maintain acceptable quality or performance standards. Upon termination: Outstanding payments (if any) will be settled per agreement. Vendor access to BizChat Connect systems and tools will be revoked. 9. Limitation of Liability BizChat Connect is not liable for disputes between Vendors and customers. Vendors are solely responsible for their products, services, and compliance with applicable laws. BizChat Connect’s liability is limited to the value of fees paid to the Vendor in the preceding 3 months. 10. Indemnification Vendors agree to indemnify and hold harmless BizChat Connect, its affiliates, and partners from any claims, damages, or liabilities arising from: Vendor’s products, services, or conduct. Violations of these Terms or applicable laws. 11. Independent Contractor Relationship Vendors operate as independent contractors, not employees or agents of BizChat Connect. Nothing in these Terms creates a joint venture, partnership, or employment relationship. 12. Dispute Resolution Any disputes shall first be resolved through good-faith negotiation. If unresolved, disputes will be subject to binding arbitration or courts in [Your Jurisdiction]. 13. Changes to Terms We may modify these Vendor Terms at any time. Updated terms will be posted, and continued participation as a Vendor constitutes acceptance of changes. 14.
